Sophie Payne writes about two recent corporate deals completed by Boyes Turner's M&A Group.
Sale of Burlington Credit Limited
In November last year Rachel Turner and Sophie Payne advised the shareholders of Burlington Credit Limited on the sale of their shares (together with Burlington Credit’s wholly owned subsidiary companies, Burlington Collections Limited and Burlington High Court Enforcement Limited) to Marston (Holdings) Limited. Burlington Group is both FCA and SRA regulated and provides a full spectrum of debt management services including outbound multi-channel collections, field services, debt litigation and High Court Enforcement to banks, lenders, utilities and telecoms providers. Amie Kelsall advised on the property aspects of this transaction and Andrew Whiteaker on the employment aspects.
Commenting on the transaction, John Ingram, Managing Director, said “We were extremely impressed with the Boyes Turner team, particularly the exemplary service of Sophie Payne who tirelessly demonstrated an admirable combination of dedication, commitment and a great depth of knowledge and skill. Sophie was a pleasure to work with throughout a complex transaction and the moving challenges that were presented”.
MBO – Towelrads.com Limited
Rachel Turner and Sophie Payne also recently advised Hamilton Heating Group Limited on its acquisition of Towelrads.com Limited, a leading supplier of high quality bathroom towel rails and designer radiators based in Maidenhead. With funding provided by HSBC Bank Plc and HSBC Invoice Finance (UK) Limited this management buyout saw Managing Director Paul Hamilton acquire a majority shareholding in parent company Hamilton Heating Group Limited and former majority shareholders Clive Norman and Alan Simpson take a step back from the business.
Leading the transaction, Rachel Turner said:“Towelrads.com is a growing company with big ambitions and we look forward to working with Paul in the company’s next phase of development. It’s always a pleasure to work on transactions where clients are working to the same end and the professional advisers can concentrate on delivering that in a commercial way.”
