Boyes Turner acted for Bastiaan Soeteman and Snow Pond Holdings B.V. on its acquisition of the Winkworth group of companies, one of the UK’s leading providers of industrial mixers. Snow Pond Holdings B.V. owns Lindor Machinefabrieken B.V, a market leading manufacturer of special mixers, impregnators and dryers for precious and sensitive powders, granulate and natural products, based in the Netherlands.
The acquisition of the Winkworth group was a strategic move to leverage Lindor’s existing market position and sales channels, giving Snow Pond its first foothold in the UK. Grant Jamieson, who was a shareholder in Winkworth Mixers Limited, the target company, remains Managing Director and now holds shares in the new parent company, Winkworth Holdings Limited.

There were some ‘bumps’ along the way, primarily because the Bank originally chosen to finance part of the consideration was unexpectedly and dramatically downgraded by the credit ratings agencies at a crucial point in the process, however another mainstream Bank, Santander UK Plc, was quick to respond and very happy to step in and we were able to complete the transaction relatively quickly after initial credit approval."
