Boyes Turner has advised the shareholders of ITGL, a digital transformation and Cisco Gold Partner, on its sale to Conscia, a provider of mission-critical IT infrastructure solutions and cybersecurity services across Europe. The acquisition of ITGL sees Denmark-headquartered Conscia enter the UK and Ireland markets.

With a market-leading presence in the public sector together with finance, legal and retail sectors, acquiring ITGL is set to complement Conscia’s commitment to supporting clients with complex network, security, data centre, cloud, IoT and mobility needs. At the same time, ITGL’s client base will benefit from enhanced cybersecurity solutions and managed service expertise. ITGL has sites in Portsmouth and Oxford and a team of 70 people.

ITGL CEO, Neil Pemberton, will continue to lead the business - operating as ‘ITGL – part of Conscia’ - alongside management team colleagues, Paul Hanagan, CTO, and Ben Pammenter, Sales Director.

Chris Dobson, Partner and Head of Corporate, and Pearse Connery, Senior Associate Solicitor, also in Boyes Turner’s corporate team, led the deal.

Neil Pemberton comments, “As a leader in the digital transformation space, Conscia is closely aligned with ITGL’s core values, focus on operational excellence together with our people-centred culture. We’re excited about what this means for our customers, our people, and our business as we continue to grow with Conscia, internationally. Chris, Pearse and the rest of the team at Boyes Turner provided us with excellent support throughout the transaction and we are delighted with the outcome.”

Chris comments, “We were very pleased to advise the ITGL shareholders on this sale. The transaction will see ITGL consolidate its position as a leader in the UK digital transformation market and strengthen its customer offering as it continues to grow as part of Conscia and we are looking forward to seeing their continued success. It was an absolute pleasure working with the team and we wish them all the best for the future.”

Supporting Chris and Pearse at Boyes Turner were Aimee Gaston (Corporate), Katie Harris and Natalie Wood (Employment).

Vasa Babic (corporate finance), NGM Tax (corporate tax) and Wilson Partners (personal tax) also acted for the selling shareholders of ITGL.
