We advised the shareholders of Intuitive Systems and Networks Limited (ISN), on the sale of their shares to Conscia, a provider of mission-critical IT infrastructure solutions and cybersecurity services for large organisations across Europe.
The acquisition of ISN, a secure network consultancy and managed services provider, sees Conscia further drive its growth across the commercial sector in the UK, specifically its cybersecurity and managed services offerings. It is Conscia’s second acquisition in the UK, following its purchase of digital transformation and Cisco Gold Partner, ITGL, last year, a deal that Boyes Turner also advised on.
The deal will see ISN’s team of 40 employees join forces with ITGL as they fully integrate into Conscia and launch the brand into UK market in October 2025. ISN’s team will continue to work out of the company’s Royal Wootton Bassett base as they run in close partnership with ITGL, which includes sites in Oxford and Portsmouth. It brings Conscia’s overall headcount in the UK to 130.
Chris Dobson, Partner and Head of our Corporate team, led the deal, with support from Joe Rogers, Aimee Gaston and Izzy Brignall. The team was also supported by Sarah Williamson and Andrea Date (Commercial Technology), Katie Harris (Employment) and Nick Carter (Property).
Richard Titheradge, CEO, ISN, says: “We’re thrilled to join Conscia. With their strategic partnerships and strong presence in the public sector, we complement each other perfectly. We’re excited about what the new opportunities will bring for our people and existing and future clients. Chris and the Boyes Turner team provided excellent support at every step of the transaction and all parties involved are delighted with the outcome.”
Chris comments, “We’re delighted to have supported our clients on this sale. All sides approached the transaction with great commercialism and high levels of collaboration so it was a pleasure to be involved. ISN and Conscia are a great fit, and we are looking forward to seeing the continued success of the merged business whilst wishing our clients all the best for the future.”
James Mines, Nick Wright and Matthew Nolan of FRP Corporate Finance also acted for the shareholders of ISN providing corporate finance advice.
Gorrissen Federspiel and Addleshaw Goddard acted for Conscia.
